Project ARTEMIS

Description
As part of the ARTEMIS project, Edelweiss is advising an international logistics company that specializes in air, sea and land freight with a special focus on the Irish and Anglo-American markets. The company is very profitable and well positioned with annual sales of around EUR 8 million and EBITDA of EUR 1 million. The shareholders have commissioned Edelweiss to conduct an orderly transaction process and identify a strategic buyer. They are prepared to go through a transition period of two years with the new buyer in order to secure a variable purchase price as part of an earn-out that takes into account the company’s productivity in the coming years. Several international buyers have shown interest and submitted indicative offers, which successfully opened the bidding process.
Quote from Edelweiss management:
“The ARTEMIS project demonstrates our ability to manage complex international transactions while protecting both the short-term and long-term interests of our clients. We are confident that the strategic buyer will successfully integrate and develop the company, ensuring the long-term sustainability and success of the company.”
Approach
Edelweiss has taken a structured and targeted approach to finding the best strategic buyer for the company. By involving several potential buyers in the bidding process, a competitive and transparent process was ensured that promotes optimal value creation for the shareholders while taking into account the future productivity of the company.
